Hospital W2 vs PE backed group with higher base and a two year clawback: how do I compare them without treating the base as the whole job?

Run four ledgers before you look at the base. The base is one number on one ledger, and the higher offer usually wins that ledger while losing at least two of the others. Price each ledger in dollars, add them up, and compare the totals. The recruiter wants you looking at the base. The totals are what you are choosing between.

Who keeps this job alive?

Contract security is the first ledger. Can they terminate you without cause, and on how much notice? What happens to your job if the group loses its hospital contract? A big base on a job that can disappear quickly is worth less than it looks.

This weighs more in anesthesia than in most specialties because your job is tied to a facility contract you do not control. If a private equity backed group loses the hospital contract, the physicians do not keep working at that hospital under a new banner. The job goes with the contract. Hospital employment usually trades some upside for stability, because the hospital is not going to lose its own contract with itself. Those are two different bets, and it helps to know which one you are making.

Ask both sides the same question. What happens to my employment if the anesthesia contract changes hands? Get the answer in writing, not from the recruiter.

What does it cost to leave?

Exit costs are the second ledger. Add up the clawback on any sign on bonus, the malpractice tail if you would be the one buying it, and the noncompete, which might mean moving your family just to keep practicing. Nobody puts those costs on the offer letter, but they are dollars all the same.

A two year clawback on a $75,000 sign on bonus means leaving at month 12 could cost you around $37,500 in repayment. Anesthesia tail coverage can run into the tens of thousands. A 15 mile noncompete in a consolidated metro can mean relocating. Put a number next to each one. These are the costs of changing your mind, and you should know them before you sign.

What does the base depend on?

The third ledger is what the base is made of. A guarantee is a promise for a set period. A formula depends on volume, payer mix, and how the group counts your work. Two offers can show the same number and carry completely different risk.

In anesthesia, the post guarantee formula is often unit based or collections based. Unit based means you are paid on anesthesia units, the base units for the procedure plus time units, multiplied by a conversion factor. Collections based means you are paid on what the group collects for your work, which depends a lot on payer mix. Either way, the conversion factor decides your income once the guarantee ends. Know it now. Ask what it is, ask who sets it, and ask whether it has changed in the last few years.

Then ask the group to show you what the formula paid someone in your shoes last year. An anesthesiologist a year or two past their guarantee, similar call, similar sites. What did the formula produce? If they cannot or will not show you, that tells you something too.

What forgiveness are you giving up?

The fourth ledger is Public Service Loan Forgiveness. If you are working toward it, the test is the employer on your W2, not the building you work in. That employer has to be a government entity or a 501(c)(3) nonprofit. A hospital W2 job qualifies only if the hospital itself qualifies. For profit systems do not. And a private equity backed group staffing a nonprofit hospital usually does not either.

Anesthesia adds a trap here. Most anesthesia groups are for profit companies, so the hospital's nonprofit status does not transfer to the group. See which employer qualifies for PSLF.

There is a narrow contractor exception in California and Texas. Before you count on it, confirm the employer EIN in the PSLF Employer Search on StudentAid.gov. With big federal loans, this ledger alone can flip the comparison. For someone with $300,000 in federal loans, losing forgiveness can be worth more than a large difference in base salary.

The anesthesia piece

Private equity groups buy revenue streams. In a lot of these deals, they bought the hospital contracts and the billing. Your rate is a line item to them, and line items get managed. That does not make every PE backed job bad. It means you should read the offer knowing the business model on the other side of the table.

Follow up questions

How do I verify whether an employer qualifies for PSLF?

Find the legal entity that will issue your W2 and get its EIN from HR. Run that EIN through the PSLF Employer Search on StudentAid.gov and save a screenshot with the date. Do not rely on the recruiter's answer.

What should the pay formula look like in the contract?

The post guarantee formula should be written into the contract before you sign the guarantee. A guarantee with no written formula behind it is a first year number and a shrug.

How do I compare a guarantee against a formula based offer?

Ask what the formula paid someone in your shoes last year, then compare that number against the guarantee. The guarantee describes year one. The formula describes every year after.
